By accessing and using ColdReach ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Service Description

ColdReach provides email outreach and management services, including but not limited to:

  • Email campaign creation and management
  • Domain procurement and setup
  • Email deliverability optimization
  • Microsoft 365 integration
  • Email warmup services
  • Analytics and reporting

3. User Responsibilities

3.1 Compliance

You agree to use the Service in compliance with all applicable laws and regulations, including but not limited to:

  • CAN-SPAM Act
  • GDPR (General Data Protection Regulation)
  • CCPA (California Consumer Privacy Act)
  • All applicable anti-spam legislation in your jurisdiction

3.2 Prohibited Uses

You agree NOT to use the Service to:

  • Send unsolicited bulk emails (spam)
  • Harvest or collect email addresses without permission
  • Send malicious content including viruses, malware, or phishing attempts
  • Impersonate any person or entity
  • Violate any intellectual property rights
  • Engage in any illegal activities

4. Account Terms

  • You must provide accurate and complete registration information
  • You are responsible for maintaining the security of your account
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized access

5. Payment Terms

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We reserve the right to change pricing with 30 days notice
  • Failure to pay may result in suspension or termination of service

6. Email Sending Limits and Fair Use

To maintain service quality and deliverability for all users:

  • Daily sending limits apply based on your subscription plan
  • We monitor for unusual activity and may temporarily limit sending
  • Consistent bounce rates above 5% may result in account review
  • Spam complaint rates above 0.1% may result in immediate suspension

7. Data Protection and Privacy

We take data protection seriously. Please refer to our Privacy Policy for detailed information about how we collect, use, and protect your data. By using our Service, you acknowledge that you have read and understood our Privacy Policy.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by ColdReach and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

9. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation:

  • Breach of Terms
  • Non-payment of fees
  • Violation of anti-spam policies
  • At your request

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE SPECIFIC DELIVERY RATES OR INBOX PLACEMENT.

11. Limitation of Liability

IN NO EVENT SHALL COLDREACH, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

12. Indemnification

You agree to indemnify and hold harmless ColdReach and its affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
